The general terms and conditions, prices, etc.

The following prices and general terms and conditions are valid for all customers, as well as for projects, tasks, efforts, and collaborations completed in whole or in part by Superego’s department in Horsens (Superego A/S).

1. General T&Cs

1.1 All prices are in DKK, excl. VAT.

1.2 The offer or estimate is valid 30 days from the date of issue.

1.3 By accepting the offer or price estimate, Superego’s current guidelines, prices, and terms and conditions are also accepted.

1.4 By “offer” or description of economic conditions as “fixed prices,” a fixed price is understood to be independent of the actual hours spent at the completion of the task/project unless other factors have influenced the solution or the scope of the task/project. In these cases, the fixed price can be adjusted upwards or downwards as a result of the change’s significance for the scope as well as the process and time horizon of the task.

1.5 By “price estimate” or description of economic conditions as “estimations,” “estimates,” or “allocated amounts/hours,” a variable price is understood, which depends on the actual hours spent at the completion of the task/project.

1.6 If the total scope of the task or the scope of sub-tasks should change along the way, the economic and time-related conditions will be revised. In such a case, notice will be given. Note that offers and price estimates do not include extensive or extraordinary proofreading and time spent on revisions based on changes from the customer’s side, or due to errors in submitted files/materials, unless notified by the customer. Time spent on revisions due to extended or extensive proofreading (beyond the scope included in the offer) will be invoiced separately at the end of the task at the current hourly rates.

1.7 In the event of a lack of feedback from the customer, a lack of material, or in cases where agreements around the delivery of briefings, feedback, or other information/material are not kept, but are essential for solving the task according to the agreement and the time frame for the solution, this can also influence the delivery speed, time horizon, and economy, regardless of whether the project/task is solved on the basis of a fixed agreed price or based on consumption.

1.8 Comments on proofreading may only pertain to parts of the solution that have not previously been presented to the customer. Comments on proofreading must be compatible with the original brief. Changes/adjustments to the brief or previously approved/uncommented elements are thus invoiced separately by time spent according to current hourly rates. The quantity and scope of corrections and ongoing adjustments due to the customer’s wishes will be evaluated continuously. If the quantity and scope are assessed to have a critical impact on the execution of the task in a feasible manner or within a reasonable time and economy, the customer will be advised accordingly so that the extraordinary proofreading (according to Superego’s best conviction) can be concluded after a separate settlement.

1.9 For fixed ongoing agreements, invoicing is retrospective at the end of each month.

1.10 For ongoing ad hoc work, billing and invoicing are retrospective at the end of each month based on actual consumption at current hourly rates, unless otherwise agreed. Superego reserves the right to collect and settle for ad hoc work quarterly or semi-annually, depending on the quantity and scope of the tasks. Single ad hoc tasks can also be invoiced independently of a period as a project.

1.11 All offers/estimates are based on knowledge of the task’s scope and complexity at the time of the offer/estimate’s preparation. The offer/estimate regarding the scope, deadline, and economy depends on the current knowledge of the task’s scope, which is also applicable throughout the project’s implementation.

1.12 Costs for external third party suppliers are not included, including but not limited to photographers, video production, stylists, journalists, copywriters, stock video, translators, voice-over artists, models, drone rentals, printing costs, etc., unless it is clearly stated in the offer.

1.13 Superego can assist in obtaining prices from selected, trusted partners or partners chosen by the customer. When obtaining prices on behalf of the customer and coordinating with third party suppliers, project management and control in connection therewith are settled separately and invoiced based on actual consumption as an addition to the task/project.

1.14 Note that when obtaining prices on behalf of customers and forwarding prices, a surcharge may be added to Superego.

1.15 In cases of forwarding prices to the customer, there may sometimes be day prices or offers with short deadlines hence, deviations from the approved price may occasionally occur.

1.16 All drafts/raw materials for texts, facts, photos, materials, information, etc., to be used for content come from the customer, unless otherwise agreed.

1.17 Material, facts, information, etc. are provided in the process where Superego, in consultation with the customer, finds it appropriate and possible according to a tentative production plan.

1.18 Superego provides a third party image bank with stock/generic photos where it is deemed appropriate. Upon delivery of the raw files to the customer, the customer is responsible for purchasing the relevant licence for the material.

1.19 If it is assessed at a startup meeting that a previously given/indicated price is not realistic in relation to the expected time spent, the customer will be informed thereof, in which case it must be decided whether the scope of the task should change and the framework for the task should be revised specifically concerning the deadline and economy.

1.20 After approved corrections, exported files (e.g., PDF, MP4, JPEG, etc.) are sent to the customer and/or on behalf of the customer to the desired third party supplier, media, printer, or similar. Open work files are thus not provided (except for a logo package). Open work files may be purchased on request in individual cases against payment for the rights thereto. Unless otherwise agreed, Superego owns all rights to open files and templates. Time spent on packing and preparing open work files is billed separately.

1.21 Note that Superego and any third party suppliers are not responsible for any errors or omissions that the customer has not corrected in writing or brought to attention during the proofing or approval phase.

1.22 In the case of special orders of printed materials (e.g., materials printed with the customer’s logo, graphics, communication, etc.), any right to complain due to dissatisfaction with the product, such as minor differences in colour shades and smudging, etc., is waived. Only obvious and critical errors due to production or material faults may result in a complaint or compensation from the manufacturer/supplier.

1.23 Upon receipt of full payment for the total scope of the task, all rights are transferred 100% to the customer for the use of identity, communication, graphics, website, concept, or similar. Until full payment of the amount is made and registered, Superego owns all rights to the task, project, or solution, and therefore the customer may not use it, either wholly or partly, or otherwise make it public before full payment is completed. Rights to work files are not transferred, but can be purchased in individual cases for a separate amount set by Superego.

1.24 The agreement is binding on the companies and not the individuals who give consent. The agreement must be accepted in writing by email or signed agreement. If cooperation is terminated at the customer’s initiative before the task’s total completion but after binding acceptance of the offer/estimate has been given, Superego reserves the right to complete the task/project. In such cases, all temporary digital files (exported as PDF, JPG, MP4, etc.) are sent to the customer, and the total time spent on the task is billed at the conclusion of the final invoice, including any lost profit due to the termination of the cooperation, including all hours spent in connection with the task/project, including hours spent on meeting participation, estimation, and bidding, both internally and externally. If the customer does not react or respond, or otherwise delays the task/project for a continuous period of more than 30 days, regardless of the reason, Superego also reserves the right to complete the project and bill for the total time spent on the task at the conclusion of the final invoice, as well as for any lost profit due to the project’s delay or the customer’s lack of feedback. In the event of a resumption of the project/task, the remaining financial and time-related conditions for completion according to the original agreement will be revised.

1.25 If the customer changes strategy, replaces decision-making personnel, or otherwise chooses not to use or refrain from the solution presented by Superego and developed, created, or resolved based on the initial briefing, the customer accepts that the agreement is binding to an extent corresponding at least to the mentioned amount for the solution by offer or estimate. The agreement is, upon acceptance and start, thus binding in terms of economy and cannot be scaled down, halved, or credited in any way at the customer’s initiative, regardless of the reason, if the customer does not wish to make use of the whole or parts of the solution.

1.26 Alongside or following a task or project, additional tasks related to the project can be solved on an ad hoc basis with monthly billing based on actual time spent at current hourly rates.

1.27 For projects or larger tasks where the total sum is expected to exceed DKK 30,000 excl. VAT, Superego reserves the right to invoice 50% of the estimated amount upon the approval of the offer/estimate and finally upon presentation or delivery – and at the latest 60 days after the presentation has been made or the task solution has been received for initial approval. Note that the execution of the task/project only commences at Superego once payment for the initial invoice has been received and registered. Superego also reserves the right to require full payment in advance for the resolution of the task in individual cases. Here, the customer is advised of the fact that the task/project’s implementation will only begin when payment of the full agreed amount has been received and registered. Superego reserves the right to require a bank guarantee from the customer in individual cases.

1.28 With estimates and price quotes, the task is billed according to consumption at current or agreed hourly rates. The final time spent is expected to be able to deviate +/- 15% depending on the task’s progress, process, challenges, changes in scope, etc. If the time spent is expected to exceed this and the total scope of the specific isolated task, subtask, or project amounts to DKK 30,000,- excl. VAT or more, the customer will be advised. Superego reserves the right to deliver, settle, and invoice without advising, provided these conditions are not met.

1.29 Entering into cooperation does not guarantee the customer any exclusivity within the industry at Superego.

1.30 Superego generally offers no guarantees for the documented effect of the produced/developed solution or the ongoing/final implementation of a task, project, initiative, or package.

1.31 Superego will be available during weekdays from 8 am to 4 pm and Fridays from 8 am to 3 pm. During this time, and to the extent possible, Superego can make adjustments and changes on its own or the customer’s behalf in connection with tasks, projects, and initiatives. Outside these hours, as well as on weekends and public holidays, as well as in weeks 29 and 30 in the summer and between Christmas and New Year when Superego is closed, Superego reserves the right to solve any challenges or make adjustments, etc. to the extent possible.

1.32 Superego offers no guarantee for delivery or response time in connection with corrections or adjustments, etc., on tasks, projects, and initiatives unless otherwise agreed, nor is any form of compensation or discount offered due to the handling of any specific corrections or adjustments, etc.

1.33 In case of collaboration difficulties (e.g., lack of communication from the customer, inability to communicate in a good tone on the part of the customer, or in cases where the customer is no longer available to a sufficient extent on their own initiative or is deemed to intentionally delay a project, task, initiative, package, etc.), Superego reserves the right to terminate and send a final invoice for any hours spent, external costs, and any lost work profits according to the economic scope of a given offer, solution, digital package, or initiative.

1.34 With offers and price quotes, a single presentation of the solution to the customer is typically included or accounted for. If the solution is desired to be presented or reviewed more than once, all hours associated with additional presentations, including preparation and any travel time, driving, etc., as well as coordination thereof, are billed. Any corrections or fine-tuning resulting from additional presentations are assessed individually as to whether they are included in the scope of the task or should be billed separately.

1.35 The general guidelines, specifications, and conditions of third party suppliers and partners may apply to agreements in the collaboration between the customer and Superego.

1.36 When ordering through Superego from a potential third party supplier (such as a printer), the chosen supplier is directly accountable to the customer.

1.37 In the event of a review or preparation of an NDA (Non-disclosure agreement) at the request of the customer, hours related to this are billed separately, regardless of whether a project, task, or offer is approved, unless otherwise agreed.

1.38 Superego and its staff are subject to confidentiality. Knowledge and information can thus be shared with Superego securely, although it is the customer’s own responsibility to highlight extraordinarily business-critical, competitive-strengthening, or otherwise sensitive information, etc., before sharing. In connection with this, Superego does not guarantee that any customer representatives and/or team members who are attached to the customer periodically and/or permanently have, may have, or will come to work with one or several other customers at Superego or future employers who could be considered wholly or partly competitive companies. Superego is at all times obliged to account for which of the possibly associated persons at Superego that can be considered to be in direct or indirect contact with a given customer’s potential competitors, upon request from the individual customer.

1.39 Superego reserves the right to update and change current hourly rates continuously and without prior notice. Hence, any agreements made based on these will be subject to these changes, which will also be adjusted with effect after the changes have been implemented.

1.40 The customer is the GDPR and data controller in connection with any data, regardless of nature, that may form part of a solution. Superego and any subcontractors act as data processors on behalf of the customer.

1.41 In the event of any delays and/or deficiencies, Superego and/or utilised third party suppliers bear no responsibility if the delay or deficiency is due to labour conflicts of any kind and any circumstance which Superego cannot control, including but not limited to water damage, fire, natural disasters, war, mobilisation, or unforeseen military call-ups of a similar scope, requisitioning, insurrections, disturbances, currency restrictions, a lack of supplies, a lack of transport, a general shortage of goods, restrictions on propulsion, illness, unforeseeable deaths, business closures, import and export bans, and similar force majeure situations.

1.42 Superego cannot be held accountable for any damages, including both physical and psychological, caused by or with products/services, tangible as well as intangible, at the customer or the customer’s clients/recipients, etc.

1.43 Superego is not liable for any consequences of the customer’s marketing or the use of tasks, projects, or initiatives, etc., nor for any violations of the marketing law or other legal infringements.

1.44 In the event of a dispute between the customer and Superego, or in case of disagreements in cooperation and/or in connection with a task, project, or initiative, that cannot be resolved with acceptance and a detailed agreement between the parties, the Court in Aarhus or the Western High Court is the legal venue of Superego’s choice.

1.45 Project management, as well as strategic advising and handling of tasks/projects, are always billed separately based on consumption and thus not included. However, project management may be included as part of an offer or an estimate if it clearly states so.

1.46 Payment terms and deadline constitute net 8 days of cash from the date indicated on the invoice, unless otherwise agreed.

1.47 Superego reserves the right to send reminders for missing payments and withhold any rights, etc., until payment has been completed and duly registered.

1.48 In case of non-payment, after receiving reminders, Superego reserves the right to impose a reminder fee. In the event of continuous non-compliance with payment and multiple reminders, reminder fees will continue to be imposed and accumulated.

1.49 Any expenses for collection services are added to the sum of the customer’s outstanding payments.

1.50 All invoices are subject to an order and handling fee regardless of the invoice’s content, nature, economic size, or other circumstances.

1.51 It is the customer’s own responsibility to register any trademarks and/or patents for solutions that Superego has developed, wholly or in part.

2. Websites and online solutions, etc.

2.1 In the description provided with offers or price estimates for websites or online module solutions, costs such as server rental, web hosting, SSL certificates, domain subscriptions via, for example, Dot DK (formerly DK Hostmaster), third party integrations, etc., are not included. The prices also do not include any time spent on setting up these services or external costs for setting up mailboxes, internal mail settings, third party software/modules/services/automation services, etc.

2.2 Please note that upon entering into an agreement for a website, an online automation solution, or a module solution, Superego handles the mediation and purchase of hosting services, domain(s), SSL certificates, any necessary DNS services, etc., on behalf of the customer, unless otherwise agreed. It is the customer’s own responsibility to inform Superego if these services and options are not desired. Here, billing is separate and in advance for a minimum of 1 year at a time, for creation and renewal. It is the customer’s own responsibility to cancel these services with a minimum of 3 months notice before the next renewal period or upon entering the agreement. Prepaid settlements cannot be refunded upon cancellation. The minimum price for hosting is mentioned at the end of the document. Note that services are activated or purchased from selected and trusted third party suppliers, and therefore prices may change continuously without prior notice.

2.3 In connection with website development and the coding of online solutions, Superego offers a fixed agreement on the installation of security updates for Drupal, Backdrop, or WordPress CMS. Please note that by entering into the agreement, the customer automatically accepts this service. The minimum price for system and security updates for Drupal, WordPress, or Backdrop is identical and named at the end of the document. The price depends on the scope and complexity of the website. It is the customer’s own responsibility to cancel this agreement with a minimum of 1 month notice before the next renewal period, or upon entering the agreement. Prepaid settlements cannot be refunded upon cancellation.

2.4 The cost of running external systems, such as payment modules or similar, is not included either.

2.5 For ongoing support after a website or an online solution has been published and approved, various support and any adjustments, additions, or development are billed separately as ad hoc at current hourly rates, ongoing at the end of a calendar month. In clear cases of error correction as a result of Superego’s programming, coding, or other services related to the project, any corrections will be made as soon as possible and at no charge. Please note that in this context, no compensation or other discount/reduction in price is provided due to any errors or deficiencies attributed to Superego’s efforts.

2.6 Please note that Superego generally and at all times does not provide any compensation due to any breakdowns, breaches of security, or other similar conditions that result in non-optimal access to or display of the website or the online solution that Superego has delivered. In other words, there is no guarantee of uptime or availability of the solution, nor security or backup regarding data.’

2.7 A website or an online solution is considered completed when the website or solution is sent to the customer as a test link for final approval. In connection with this, Superego reserves the right to invoice any outstanding or remaining amount based on a price estimate or an agreement entered into.

2.8 There may be minimum browser requirements. This means reservations are made for 100% correct display if the user employs an old/not updated, or unsupported browser such as Internet Explorer or if individual user settings have been modified. Furthermore, reservations are made for correct display due to inappropriate browser view when using any browser tools, for example, the zoom function or other browser extensions that affect the viewing of the website or solution, or third party browser extensions at the individual user, which can influence the delivery of the experience in real-time. On request from the customer, Superego can provide information about which browsers are optimised.

2.9 Optimisation of display is based on what are generally called standard formats. These formats change continuously. This means that Superego reserves the right not to achieve optimal display of websites or online solutions in screen formats (resolutions) that lie outside or between these standard formats. Information about which formats are considered standard at any given time regarding aspect ratio (stated in pixels) and which devices are considered with respect to the aspect ratio can always be given upon request from the customer.

2.10 Superego offers, in connection with the programming and coding of a full website or online solution, a cookie and consent solution for websites through our partnership with cookie information. The solution includes a cookie pop-up, a draft standard cookie policy, and the option to withhold cookies before consent. The solution also supports a compliance dashboard with the option of monitoring consents as an add-on. If this is to be added or if specific requirements for ongoing weekly scans on more than 500 subpages are set, the customer must actively choose this. The price for a cookie information solution per domain is mentioned at the end of the document. Note that this service is activated or purchased from a selected and trusted third party supplier; hence, the prices may change continuously without prior notice. Detailed terms and conditions in connection with the cookie and consent solution offered by Superego and information about alternative solutions can always be obtained from the customer’s contact person at Superego.

2.11 When websites, automation solutions, or online solutions are published (go live), technical complications may arise. Superego cannot be held responsible for IT-related and technical challenges but undertakes the task and responsibility to meet and handle these potential challenges as quickly as possible and within normal/appropriate operation. It is assessed by Superego in the specific case as to what constitutes an IT-related and technical challenge or an error/deficiency on Superego’s part. Any clear and unequivocal errors and deficiencies on the part of Superego are rectified free of charge. Any technical and IT-related challenges are billed separately based on the actual time spent. Any corrections or changes at the customer’s request, due to misunderstandings or after previously approved material (such as design, programming, content, etc.), will be billed separately based on the actual time spent. For online solutions, it can take up to 24 hours before optimal or correct display is achieved, as well as the potential consequences of cached versions for the individual visitor or in cases where DNS settings need to be registered. With ongoing updates and changes to a website or an online solution, the display of any corrections may also be delayed or require a clearing of cache or a hard refresh by the individual user.

2.12 Superego provides no guarantee regarding performance in search results or results achieved in connection with SEO/search engine optimisation of a website or an online solution.

2.13 Unless otherwise agreed upon and clearly stated in the offer, the customer is at all times responsible for the creation of texts and content, etc., as well as uploading to a website or an online solution. With a prior agreement and possible separate billing, Superego can assist with this.

2.14 In connection with the proofreading process for websites, Superego provides specific tools at the disposal of the customer. These are included in the solution and do not constitute a separate cost for the customer, unless special requests/requirements are made by the customer. In such cases, Superego will advise the customer regarding the specific changes.

2.15 Unless otherwise agreed, and this is clearly stated in the submitted offers/estimates, programming, and in particular cases, content production in connection with a website or an online solution, includes only one language version – Danish. If a solution is to be prepared for multiple languages as part of the initial solution or at a later stage, the customer must clearly advise this before the start of the task/project so that it can be taken into account in the calculation of the offer/estimate.

2.16 Please note that Superego is not responsible for nor does it guarantee that emails, newsletters, or notifications, etc., sent via the website, automation solution, or online solution, do not end up in the recipients’ spam filter/folder.

2.17 In cases where a new website or online solution replaces a previous version, a decline in performance may occur due to the search engines’ ability to capture and index the new website or solution. Further clarification and specific expectations for a given project regarding this can always be provided by Superego upon request from the customer.

3. Identities, concepts, etc.

3.1 All rights to presented material that the customer opts out of in favour of another, or in cases where multiple proposals/solutions are presented, including, but not limited to, logos, icons, concepts, name suggestions, taglines, brand platforms, headlines, etc., belong to Superego and are thereby not identified as part of the offer and thus what the customer acquires the rights to. If what is selected by the Ccustomeris not uutilisedwithin 6 months after full payment, the right to use it reverts to Superego, unless the Ccustomermakes a special point of indicating that the chosen material is intended to be used at a later date. In cases where presented proposals are not selected or where the right reverts to Superego, Superego may freely use any proposals, etc., including, but not limited to, potentially reselling them to other customers.

3.2 If the whole or part of the solution that Superego presents is not chosen for use or publication by the customer, no compensation or price reduction is provided as a result, regardless of the reason.

3.3 Any subsequent new proposals for bids/solutions requested by the customer, including but not limited to logos, icons, concepts, name suggestions, taglines, brand platforms, headlines, etc., are billed separately and for the time spent at current hourly rates, regardless of the reason for the request for new proposals/solutions.

3.4 If one or more names need to be invented or developed for an identity or a concept, expectations for the process and how this process will be billed are agreed upon separately with the customer. This part of the process is also subject to Superego’s current guidelines as well as prices and conditions. Therefore, any changes in scope or the briefing along the way at the customer’s request will be invoiced separately based on consumption.

3.5 Please note that the finalising of files and preparation for printing or uploading are billed separately and are not typically included as part of an offer or price estimate unless it is clearly stated. If the customer at any point is in doubt about what is included in the offer or price estimate, the customer is obliged to seek clarification from Superego. Superego can at any time provide experience and guidance at the request of the customer regarding the extent to which finalising files, etc., is appropriate or necessary.

4. Workshop

4.1 A workshop at Superego is understood as a meeting where the customer and Superego, in joint dialogue, discuss one or more given topics. A workshop in itself does not consist of presenting solutions but of fostering a dialogue as well as fundamental decisions and expectation alignment, which provides a foundation for solving a given task or project and a deeper insight and understanding of a collaboration.

4.2 The preparation for and conduct of a workshop for one or several representatives from the customer, with the aim of expanding skills or exchanging experience, is understood as a situation where Superego’s selected representatives can provide training, teaching, and education in a role as specialists or experts in a given area. The extent of the workshop, the process for conducting it, and any reporting or follow-up will be defined by Superego in consultation with the customer before the commencement of the workshop.

5. Digital Marketing

5.1 Agreements and efforts regarding digital marketing are subject to the current guidelines, conditions, circumstances, and terms at the respective social platforms and media.

5.2 All digital agreements, regardless of reason, cannot be terminated or paused in an initial period of up to 6 months from the first advertising date, unless otherwise agreed in advance. Thereafter, ongoing or time-limited digital agreements and initiatives may be terminated or paused with a minimum of 2 months notice + the ongoing month by written notification via email to the dedicated contact person at Superego (project manager, contact manager, project director, or CEO).

5.3 All hours related to the possible transfer of accounts, materials, and information to the customer or a new supplier/partner are billed separately to the customer based on current hourly rates. In connection with the transfer or termination of an agreement on digital marketing, open work files for graphic material developed for digital ads or similar are not handed over. On request, open work files can be purchased in individual cases.

5.4 If a digital setup or initiative is desired to be changed in scope, this cannot be done within the initial period of 6 months from the first advertising date, regardless of the reason. After this period, the customer can change the scope of the digital setup or initiative with a minimum of 2 months notice + the ongoing month by written notification via email to the dedicated contact person at Superego (project manager, contact manager, project director, or CEO).

5.5 An initial period of 6 months can be moved due to unexpected circumstances that arise at the customer or Superego. If this occurs, the other party must be advised and accept. Superego reserves the right to invoice for time spent in connection with a start-up and the initial period in cases where the customer postpones the digital agreement indefinitely or for more than one calendar month from the previously agreed first advertising date.

5.6 Upon entering into the agreement, the Customer’s own payment information and payment method are set up for the payment of the advertising budget/media spend, so that the customer is billed directly by the chosen digital media, unless otherwise agreed. In certain cases, Superego may offer to handle the advertising budget on behalf of the customer, so that the customer is invoiced by Superego. In these cases, Superego reserves the right to charge a separate fee (handling fee) of 5-15%, depending on the total size of the advertising budget and the number of vouchers that are re-invoiced. The fee is added to the mentioned invoice and settled continuously without prior notice.

5.7 Please note that at the start or takeover of an existing campaign, or with radical changes in account structure and ad spend, a decline in performance can be expected due to the algorithms’ learning phase and the building of loyalty. Trust in an effort from media and platforms must be built, and the chosen strategy must prove effective over time. Superego cannot be held responsible for lacking performance due to external conditions beyond Superego’s control/influence, such as market trends, demand for the customer’s product/service, etc.

5.8 Superego offers SEO solutions of both technical and content-related nature as an ongoing effort aimed at continuous optimisation. Note that Superego provides no guarantee for ranking or performance regarding organic traffic.

5.9 Superego’s initiatives are established with security for the customer in the form of a framework budget, unless otherwise agreed. Superego will, based on advice and experience aimed at creating value for the customer, continuously make recommendations on where, when, and how the effort can advantageously be optimised. These optimisation suggestions, in consultation with the customer and through continuous written acceptance, may replace the extent of the effort, even within the initial 6 month period.

5.10 During holidays, the initiatives will be maintained continuously, except for week 29 and 30 in the summer and between Christmas and New Year in the winter. During these periods, there will be no significant activity on the initiatives, and therefore anything other than critical changes and adjustments to the initiatives will be made outside of these periods. Superego reserves the right to make critical changes at the behest of the customer or Superego to the extent possible and within the timeframe possible, as the agency is closed. Planning for these periods accounts for appropriate operation during the closed periods. This is included in the agreement and therefore Superego does not offer any discount or compensation during vacation periods, and billing will proceed unchanged.

6. Others

6.1 In cases where the project or task includes the use of floor plans, these should be provided 100% finished and in approved condition by the customer, following Superego’s instructions and requirements regarding setup, design, and layout. If floor plans need to be versioned, coloured, redrawn, and/or otherwise refined, this will be billed according to the separate time spent. It is assumed that floor plans are provided as working files in .AI/.EPS format, with graphics placed in layers.

6.2 Any fees imposed by shipping companies and couriers may occur without notice in connection with the delivery of products or similar items ordered through Superego. Note that the conditions of shipping companies as well as couriers will be applicable at all times. Special fees for delivery on pallets or in special packaging may occur, and express fees may be imposed for special delivery speed requests beyond the normal. Responsibility and billing for this always fall to the customer, unless otherwise agreed.

6.3 Environmental charges, administrative fees, etc., may be imposed on invoices for purchases or production made through Superego.

6.4 For video recordings made on behalf of the customer, the rights to the selected and approved material belong 100% to the customer after registered payment of the total amount for both recording and editing, unless otherwise agreed. Unused raw material can be packaged and sent to the customer upon request, though its use may be subject to restrictions. It is the customer’s responsibility to always obtain any rights and consents for the use, publication, and storage of video material. Superego can assist with this upon request from the customer, although the responsibility for use always rests with the customer. Note that video and raw material, as well as photos, etc. may be subject to conditions and limitations regarding a given period of use. It is the customer’s responsibility to ensure any rights and regulations are complied with.

6.5 The responsibility for obtaining any permits in connection with photo and video shoots lies with the customer. Superego can assist in obtaining this on behalf of the customer in certain cases. The time spent on this is billed separately at the current hourly rates.
